WWY filed the initial proxy statement for this transaction with the SEC on May 23, 2008.

The proxy discloses an HSR notification date of May 21, 2008. This creates an HSR waiting period expiration date of June 20, 2008. As discussed previously, this proposed combination presents very little competition issues, particularly of a horizontal nature, despite its overall magnitude. A second request and/or HSR re-filing is therefore not expected in this case.

European Commission consents is also a condition to completion of this transaction. The proxy does not disclose a filing date or time frame, nor has the EC published this case to its pending review list.
