After working on an update for this deal for almost two weeks, it has become clear that the entire Sirius (SIRI) - XM Satellite Radio (XMSR) situation now boils down to the FCC's determination to establish its authority, as has been discussed in several recent entries.

The mounting involvement of politicians, state attorneys general, intervenors, etc. may be unprecedented at this stage of a major license transfer review, but it is by no means surprising or worth detailing each intervenor's position or motivation at this point. That the FCC review has become politicized is a given. It was anticipated from day one and even well before the formal merger announcement. The only issue remaining is the type and significance of conditions which the FCC is virtually assured of imposing on the license transfer.

With this being the case, it is also not surprising that SIRI CEO Mel Karmazin issued public statements this week indicating that the companies would consider terminating the transaction if the FCC conditions are deemed too severe. This must be perceived as an indication that discussions between the regulator, the companies, and third parties have reached the point where approval under the companies' terms is tenuous, at best.

There is simply no way to determine or predict how the companies' or the intervenors' actions during this final stage will influence the FCC's decision. It is presumed that both spectrum divestiture (or lease) and interoperable device conditions are now being openly discussed among the parties as potential conditions, in addition to the a la carte pricing offered by the companies. It is also presumed that the first two issues are precisely what Mr. Karmazin is referring to in his "harsh" conditions comments. Therefore, the specter of one or both of the first two conditions (spectrum/interoperability) will ultimately determine if the companies are to successfully complete this transaction.

It will be stated again that this publication continues to perceive this merger as arguably the defining moment for the current and future FCC. Any approval that fails to enforce the FCC's authority via significant conditions beyond those proposed by the companies will effectively result in the FCC being labeled a "rubber stamp" regulator for years to come -- at least with respect to major license transfers.

It is therefore anticipated that the FCC will indeed approve the license transfer, but will impose conditions which will force the companies to either submit to unwillingly or to reconsidering the combination altogether. The odds are now perceived to be evenly split on this perceived outcome and there is, unfortunately no real sense of timing with respect to an FCC decision.

We're tired of reading all these meaningless rhetoric articles with repetitive information over and over again and again throught the last 15 months. Find something else to blog about until the final merger is approved would you please?!

Same stuff.... different day. Who's the author?
  • May 15 07:45 AM
This guy, has been consistently wrong about everything he has ever posted about, on this merger. So now we are to take him seriously on this? He is a moron, hey buddy can you get anything right? Up to this point you are making not only yourself look bad, but the company you work for. Maybe you should change the bias you have had against this merger from the begining and then you will be able to see reason.

Maybe Mel is fed up with the FCC hearing these other parties as though they have a chance at getting anymore then what Mel has already offered, and is sending a clear message, dont bother. The FCC a rubber stamp regulator, well I guess the DOJ which gave its approval has nothing to say about that.

If you cant get anything right, you should be fired for incompetence. The reason is I would never buy a report or want to deal with a company that sells advise, if they can keep incompetent people like you on their payroll.
  • May 15 08:03 AM
I think the FCC will impose restrictions that aren't consistent with what Mel had in mind. This in turn will lead to the termination of the deal. XM will go out of business and Sirius will stand alone without the restrictions the FCC has originally imposed.
  • May 15 08:11 AM
I could wright 1 sentence to replace this guys whole article and that sentence would only state somthing that has already been written. Dont quit your day job m&a. its know wonder hes affraid to put his picture up.
  • May 15 08:13 AM
Couchjock, you mean XMSR would go out of business like, CXS, Delta, Northwest, K Mart, ect., ect., ect. Get real that is not going to happen. It may go into bankruptcy then come out stronger or be bought by another party. But there is noway in hell there will not be another competitor to SIRI or visa versa. There are way to many assets that deal directly with, and only with satellite radio for it to happen.
  • May 15 08:20 AM
    More idle speculation.

    Poorly written.

"Defining moment for the current and future FCC"??
That gives new meaning to the definition of hyperbole.
  • May 15 08:23 AM
You know, I would not be so hard on this guy if he would have gotten something right in the past year about this merger, but he has been proven wrong with each article he has writen. He is just unbelievable, it is theoretically impossible to be so wrong so many times (100% so far) on a subject unless you have some sort of strong bias.
  • May 15 08:42 AM
I have contacted both of my Senators from Kentucky and asked that a special prosecutor be named to investigate the relationship between the FCC and the NAB. In both cases I received milk-toast responses indicating they were going to do nothing. I would have to say at this point that the merger is dead. It will take some time but we will still end up with one satellite radio company due to bankruptcy and not have anything to chose from but to decide which liberal terrestrial radio station to listen to. Freedom is dead, long live liberalism!!!
  • May 15 09:31 AM
    To FCC;
You all should be embarrassed, and fired! You have lied and stalled enough. 180 day clock =a scam, by the end of the year=a Lie, by the end of the first quarter=another Lie. DOJ has proven this is not a monopoly! Allow the licenses to be combined and stop pandering to every group out there! They have no right trying to get my Company for free, I paid for shares of my company and you have no right to give anybody anything that I own. If the minorities want more radio exposure let them go buy a radio station with their own money. This is a free country, not a socialist state. So allow the combo with no concessions other than what the companies agreed to begin with. I hope you are all investigated for this disgrace, you are going far beyond what the FCC was intended for and now you are using this unassigned power to destroy American confidence in our government, and any company you choose to destroy. Your stalling of this decision has cost me personally and many more I am sure, I hope the companies file suit for your stall tactics, the empire state building was built in less time. And both companies have now lost the Millions/ Billions due to your indecision. You have no right to cost companies so much. This is America, free market capitalism, remember? This is not a necessity it is a pay luxury service. Mr. Martin do you have a Boss that oversees you, or are you a free-bird with no one to answer to? I would like to speak to your boss because no common sense decision can take over a year to make. I don’t know of any company, employee, or anybody that can take so long to do a job and still have a job after showing this amount of incompetence. I want you and you group all fired. Here is a link to a video that shows how irrelevant you group is; www.youtube.com/watch?...
So in ending you appear to be protecting your buddies at the NAB, and pandering to any special interest group wanting something for free. How about the Americans you supposed to be protecting? By the length of time you have been taking means one thing to this American and that is you are saying FU to ME. And I want you Fired. I will be sending this to anyone that will read it, the sad thing about that is that unless it is accompanied with a check, I assume no government official will read it.

    Signed; One disappointed American.

It's time the FCC stands up and tells these AG's and Senators that the customers want this and it's going to happen. The DOJ already stated that there was no anti trust issues here so why are we still waiting for approval of this siri/xm merger,I'll tell you why,it's an election year. This is also the only reason these AG's and senators are acting like they even care about the issue. The idea mentioned above on leasing band width to supply free sat radio to people who decided not to continue with their subscription or never activated at all is absolutely insane. It's funny the gov't is the ones who deregulated cable with no restrictions what so ever and now the monthly prices are unreal and you have "NO" choice of which cable company you go to as there is only 1 that owns your area and they even own some of the dish service which is your other option . Now as of feb 2009 there is now more analog tv which means most of the remaining people who don't have cable or dish will now end up having to get it or buy a converter. Of course the converter will as with any electronic devise probably need to be upgraded over time.
So if the handful of senators and Ag's complaining and wanting free sat radio offered to a select few listed in the article then maybe everyone who owns a sat tv dish or old cable box they no longer subscribe to or pay for should be offered free cable or dish service. Doesn't make any sense I know so why should would it for sat radio either.
I am mad as hell about the FCC dragging there political feet on this merger both as an investor and as someone who is wanting to become a customer as soon as the merger is APPROVED.
The deal sat radio is offering with ala carte pricing is something after all this time cable has never offered!!

In closing I say to everyone speak up and be heard to the FCC as your voice is a political vote which means something to someones ears i guarantee you!!!
  • May 15 11:04 AM
I presume that it is Kevin Martin who's putting the breaks on this merger.

    Why?
  • May 15 11:14 AM
I've now had an opportunity to read the other comments here.

First of all, this is the one solid truth of American broadcasting.

American terrestrial radio is predominantly, indeed, suffocatingly extremist and right wing. There is very little liberal broadcasting happening in American terrestrial radio. I hope that you all can handle this simple little truth.

XM and Sirius radio are two strongholds where liberal speech and true freedom are permissible.

Frankly, I was very excited about their, I hope it was a joint proposal, to offer channels to minorities. It is about time and it is an exciting development in broadcasting. One tires of hearing only the tired rhetoric of boring old white men. I demand new voices.

I am tired of hearing what explodes from Rush Limbaugh's broad buttocks on station after station after station. The scoundrel has a monopoly on American broadcasting and he is boring, totally boring, even his utterly pathetic sex life is boring. A guy who can only get it on with little boys!

    Ick!

Everyone just hang in there. The media attempts to control the minds of all who invest. There is way too much money invested here for this this thing to ever go away. Don't get so uptight about this merger. If it does not happen it is no big deal. Someone will aquire one or both companies. The country is highly in favor of satellite radio so be patient and let these knuckleheads keep writing what they want. The right palms will eventually get greased and satellite radio will become bigger and better than ever. This is how America works and why this country eventually will be a victim of its own demise. Greed will be the ruination of the world! Its all about money.
  • May 15 11:26 AM
btw... If the FCC stopped acting like a child trying to please both parents (Atty Generals & Congress), they might be able to conclude an adgenda item that is really straight forward. Taken fron the FCC web site, the Telecommunications act of 1996: "The goal of this new law is to let anyone enter any communications business -- to let any communications business compete in any market against any other"
SO...........NAB Lobbiest influence the Atty Generals, NAB Lobbiest influence Congress. Both Congress & Atty Generays pull the puppet strings of the FCC comission.

    Money Talks!!!!
  • May 15 11:56 AM
FilthyLucre, you are a democrat that is obvious, because you are a moron and cant see the truth when it is standing in front of you.

First of all, you nem-rod try blaming the 2 democrats that are and have always been against this merger from the begining. Dont blame the 3 republicans that are for it. This is well known and one you will see when the vote comes in at a 3 to 2 vote. Try blaming the 2 democrats that want to listen to all these people that want a free ride into a bussiness without the risk. You want to know why Martin is not forcing a vote, because he knows what happen the last time he had a vote along party lines. The democrat controled congress tried to cut the FCC funding off. So now he cant do anything until the 2 democrats have said all they want to say, and meet with everyone that they want to meet with. Why dont you take a look at which party most represents these attorneys general (almost all are democrat). Why dont you pull your head out of your ass and find a brain.
  • May 15 11:56 AM
    Response to "karaokejb".

The problem is not the AG's and Congress. The problem is the FCC kissing the NAB backsides. That is why we need a serious inquiry to determine how much of a bribe Martin has received from the NAB, and chage the whole lot with violations of the racketeering laws. Let's put their butts in prison where they belong!!!
  • May 15 12:09 PM
What happened to all those FCC clock stoppages this guy predicted? He makes me and our cause (to bleed these two companies) look bad!
  • May 15 12:25 PM
FilthyLucre, you once again show yourself to be an idiot. You want to know why there are mostly conservative talk shows on, Its simple people want to listen and that means they can make money in advertising. That is why the only liberial radio on, is NPR because it is funded with our tax dollars. You libs tried and failed with that bankrupt Free America station or what ever it is called, that is only still on because of donations.

You libs are the most ignorant people I have ever known. None of your ideas make any sence. Here is an example: You are for killing babies and are against the death penalty. So let me get this straight, you have no problem killing a baby for no other reason then a inconvenience. That, that person put on themselves in when they had the oppertunity to be prochoice and use birth control. Then you are against having a person killed that has admitted to rape and killing 5 people. Yea that makes alot of sence right. Here is another from your favorite senator Kennedy and his whole family. WE NEED MORE WIND POWER!!!!!, WAIT A MINUTE, WHEN I SAID THAT, I MEANT SOMEWHERE ELSE NOT 20 MILES OFF MY BACK YARD. We need to do something about this global warming!!!!, NOW WHERE IS MY LIMO, I NEED TO GET TO MY PRIVATE JET.

You people are such hypocrites, you make me sick.
  • May 15 12:28 PM
Sorry about the typos, dumb jackasses like FilthyLucre get me flustered.
  • May 15 12:42 PM
SPR, I put you in with the other dumbass. Why, well because only a democrat would blame a republican, that is for this merger, instead of the 2 democrats that are against it. Your logic is amazing, I am suprised you are still alive, I figured anyony with that kind of logic would have been hit by a car by now.
  • May 15 12:56 PM
RE: FilthyLucre, 163888 pretty much said it all. If you can get past the criticism , you will see that, point for point, he is correct. Try to put aside for a moment your blind emotion, and use some common sense. Concentrate.............. and think. See how things come into perspective, when you do!........ Far Left Liberals. Rats, blindly following the Pied Piper.
  • May 15 01:43 PM
    Re: FilthyLucre, 163888, and Killerkaul,

Everyone needs to tone down the politics here. Obviously all three of you are biased. Filthy is not saying that there is a conspiracy that conservatives are running the terrestrial airwaves, just simply that that is all that is on the radio. As for 16388, can't the same hypocrisy be said about conservatives allowing abortions yet are for the death penalty (come on man, think of the other side of the criticism here). Also, there are others (other than the Kennedys) that don't like alternatives in their "backyard" (see everyone who uses nuclear power and ships the waste afterwards to Nevada). As for KillerKaul, I believe there are two "pied pipers" and two groups of "rats" being lead by them.

Come on now, lets just stick to the topic, if you are going to post. There are some Republicans but even more Democrats against this merger and that just sucks. After the merger, there will hopefully be a single standard for the receivers (sorry to those who have already bought the different systems already) and merged/better programming. In the end, that is what we all want!
  • May 15 01:44 PM
Killerkaul, They are to dumb to get it. Think about it they would have to be in a dream world to blame the ones that are for the merger, for the hold up. These are the same people that say I cant believe all those Germans believed Hitler and followed him. Then will vote for someone like Obma who is the most liberial racist american hater ever known to run for office. Then are going to say, man I didn't think he was that bad. These are the same people that were trying to relect Carter AFTER the worst 4 years in a vary vary long time.
  • May 15 01:51 PM
Lets get the governing bodies in our countryto stop worrying about consumer choices and start focusing on the real problems like oil, food, and housing. Do you not understand that the consumer has a choice whether to buy or not to buy satellite radio. They do not have a choice when it comes to putting fuel in their cars, heating their homes or feeding their children. The politicians in this country are a joke. The whole system was drawn up by a bunch of lawyers to protect their world and not ours.
  • May 15 02:21 PM
    HERE HERE ...BILLY
  • May 15 02:36 PM
ComeOnNow, The consevative position is totally defendable. First of all it is we are AGAINST most abortions, not for them. Next we have no problem with the death penalty for killers. So you need to get it right first. That means we want to save the babys that have done nothing wrong, and kill people that have killed others, people that have proven themselves to be useless a dept to mankind. I gave a small sample, but here is a few more. No out-sourcing but it is OK that I buy a foreign car. I ask why, they say because it was less expensive. HMMMM and they wonder why companies move factories to other countries to get cheap labor. I have no problem with buying foreign cars if you want, But just dont bitch when you lose your job to out-sourcing, and that is exactly what democrats do. I have no problem with, if you dont want nuclear. Just dont bitch about it when you run short of power like democrats do. I have no problem if you dont want to drill in ANWR, just dont bitch about the high price of gas, like the democrats do. The consevative position is, we in general do buy american, we find it better to do some outsourcing to save a company from going out of bussiness and losing 100 times the amount of jobs. We want more nuclear, and if it requires the storage of waste that is what it takes (Navada is a conservative state). We want to drill in ANWR and off of our own coast. DO YOU SEE THE DIFFERENCE. The conservatives are logical the liberials are not.

Next I have news for you the people of Nevada voted for it to be placed there. The state gets paid for it.

The topic is to put blame where blame lies, but because democrat brains cannot deal with the fact it is their own ideology getting in the way. They see fit to try and blame people that are for the merger instead of blaming only the 2 democrats on the board that are against it. Now if they would get their heads out of their asses and start writing the right people maybe we could get this thing going. Writing K. Martin and telling him he needs vote yes to approve this merger is like telling him he uses glasses, DHAAAAA.
  • May 15 04:29 PM
163888: Yes, K.Martin and the other republican commissioners are for the merger and the two dems are against. Yes, the fact that the two dems are against is nauseating for all the reasons that have been recited. But Martin is the Chairman, and presumably he has the 3 votes he needs. At best he is guilty of being a pu**y if he can't run/lead his own Commission because he fears being chastised by Democrats in Congress. Enough is enough, and it was enough quite some time ago...the democrats have had 14 months to build and state their case, and be "heard" as you put it. At this point he is becoming just as culpable as Adelstein and Copps.
  • May 15 05:19 PM
See this is what happens when the article written adds nothing to the conversation....we talk politics and sh-t.

Martin will not call for a vote until the companies agree to concessions that will sway 1 Democratic Commissioner vote. 4-1 would do it... but that will mean concessions beyond Martin's ala-carte and interoperability. Maybe a board position on the new company would do it. Who knows....
  • May 15 05:26 PM
    Here, here cos1000, I agree 100%.
  • May 15 05:42 PM
hey cos1000, some good news the drybulk rate just hit a record high already the last time it was there was Nov. last year. Have you seen DSX, NM, DRYS.
  • May 15 05:50 PM
I am growing tired of this BS. The people want this so get the hell out of the way FCC!
  • May 15 05:56 PM
cos1000, I dont want to say it, but here gos it, the ride has just started, hang on baby because it is still along way from the top of this hill.
  • May 15 06:10 PM
RE: 163888, I read your entire tirade. Complete support for my point! Commen sense vs blind emotion. Well said.
  • May 15 06:31 PM
163888... I'm in NM, but the chatter for all of the drybulk shippers is very encouraging.. I'm hanging on for the ride. I also picked up some NAT, couldn't resist with the dividend and their current pricing power on day rates, plus Cramer has been talking it up for folks to by and hold it, so that always gets ya a little pop.
  • May 15 06:32 PM
I realize NAT is not drybulk but with oil being where it is I couldn't resist.
  • May 15 07:03 PM
The merger is going to be denied. I can't believe it. Even cramer said it tonight on MAD MONEY. I guess I am lucky to own siri instead of XM. That is really messed up that they took this long to block the deal. You can't mess with terestial radio money. They are gonna buy our shares for 1.00 a piece and they are gonna tell us we are lucky we are getting a dollar.
  • May 15 07:17 PM
Thanks killerkaul, I know that comment with ComeOnnow was a little long but HE/SHE totally misrepresented conservatism. Obveous ComeOnNow, is a democrat to think conservatives are for abortion is ridiculous. Now what he/she had to say about that being the way republicans felt was the way dems felt about abortion, that would be logical. You can believe in abortion and still believe in the death penalty, One can follow the other. Obveously if you dont give a crap about a baby you should give less of a crap about a killer. but you see how dumb ComeOnNow is he/she calls that is hypocrisy. I dont think he/she knows what hypocrisy means.
  • May 15 07:18 PM
Well if Cramerica is right the rest of us must be wrong - or can we? I trust JimC as fer as I can toss the clean-slate head of his. Cramer also thought Bear Stearns should be alright...not so much.

Our wonderful govvys at work. Protect us from the big bad satellite company! I don't want the service but they forced the money out ! good grief..I am surprised their is not a HUGE outpouring of grief to the FCC from the larger institutional holders here.
  • May 15 07:21 PM
cos1000, I know, I just thought you might have gotten some DSX after I mentioned the dividend and the way it can be a mover, plus the way we were going to get a jump on it after earnings that were coming up.
  • May 15 07:39 PM
No new news here. I'm not particularly sure why you see this as a defining moment for years to come. It's a fairly simple merger of two luxury goods companies which compete with the free radio market. Perhaps if HD radio produced a better product, they wouldn't be so scared of satellite radio.

Rather than your thesis, the FCC is seeking some idea of consensus among the board members. Truly, Georgetown Partners idea is clearly ridiculous and I don't understand why media is giving so much weight to their 20% consideration. There is no evidence that the FCC is actually considering granting this provision. The 5% provision would actually be quite helpful, I assume and contribute further to family friendly programming. This will encourage families who buy cars to hold onto their subscriptions. Please, let's stop guessing and creating fake theses about the FCC delay. We will see a decision this summer without a doubt.
  • May 15 08:14 PM
Well, I might have to apologize to the auther of this article if what, pain and po'd in plano say is right and Cramer is right. This guy might be right for the first time. I will hold back until we are sure though.
  • May 15 10:13 PM
    response to SPR:

Point taken!!!! Here is some more metaphors for you. The NAB is the Eddie Haskell of this whole thing. They are prodding the FCC in the back, all the while they are sucking up to Mr. & Mrs Cleaver (AG & Congress)! Meanwhile SIRI/XMR is getting their Lumps.
  • May 15 10:21 PM
I just hope that everybody against the merger is happy. They just lost a lot of people a lot of money. They have the life line and they stood and watched us drown. We will begin to wither away and the demise of the companies will fill the pockets of our faithful appointed officials. We have been mis lead and on a wild goose chase keeping us hanging on just to painfully strike us where it hurts the most. Many have prayed for our investment's down fall which you would expect from our competitors. But I would not expect this from our government at a time where the economic climate bears no life. The FCC had the opportunity to save two companies but instead choose to hold our heads under the water suffocating us till there is no life left. I hope they sleep well tonight knowing they've destroyed struggling American companies.
  • May 15 11:19 PM
Pain, I just heard Sirius Buzz Radio with Tyler Savery, and have to say I dont think it is not going to be approved. While I think Cramer is good, he has been wrong many times to. If you read Tylers article on George Reed Dillinger, that would make you feel better. He basically says that while Martin is saying he wants a 5 to 0 vote it is most likely lip service and will not through this deal under the bus to get a 5 to 0 vote and would take a 3 to 2 vote if that is what it is, to get this approved.

If people think they would be pissed now if it did not get approved, think how pissed they will be when because there was no merger SIRI/XMSR increase the subcribtion fee by at least a dollar, in the Fall. If you dont believe me, check out what analyst have been saying, they were already injecting it in there projections of when SIRI/XMSR would be profitable. So I can safely say get ready because if they dont get this merger plan on paying at least a dollar more.
  • May 15 11:43 PM
Does anyone here understand what the official mandate is for the FCC regarding this deal. They need to stay within their sphere.

Alot of what I see talked about here is outside what their decision must be based on.

Also, SAT RAD has a say regarding the outcome. Appeals may be brought regarding the decision and the FCC has to prove that they are in accordance with their mandate.

Otherwise it would be all about grease and politics. But even our government isn't that stupid. That's why we build in balances and it is why this takes so F*$%##g long.

News flash - according to their mandate there is no way the government can support a vote of NO regarding this merger with minimal terms. It can't be defended.

    End of story.
  • May 16 12:06 AM
The two screwball DEMOCRATS=[COPPS AND ADELSTEIN]=Is the ones that has held this merger up for over eight months.=They have just lost a GREAT GREAT FRIEND=THE ATTORNEY GENERAL OF OHIO who was the RINGLEADER of the ATTONEY GENERALS to try to stop this MERGER.=By his letter to the FCC.==He was caught having sex with one of his employees.=HE EITHER RESIGNED OR WAS FORCED TO RESIGN.=He Is no longer In office.=They also raided his office for an unknown reason.=The other ten so for has not been caught=YET==These are the people these two DEMOCRATS are listening to plus the BLACKERMAILER JESSE JACKSON and not the american people.=Could It be that the NAB Is handing out something other than MONEY that Is much more fun.ASK THE FORMER OHIO AG.=HE WAS AGAINST THE MERGER BUT LIKE TO HAVE SEX WITH HIS EMPLOYEES.==I MUST BE DREAMING
  • May 16 01:17 AM
ripped, You are so right . I said kind of the same thing on the last or second to last Seeking Alpha article.

pain, and po'd in plano, I just saw what you were talking about on Cramers Mad Money. You guys really need to not idealize him so much. My god it was a passing thought he said in a passing 5 seconds. I would not take to much from it. Now if he spends 5 minutes talking about it and gives some of his reasoning behind it, then you can take it more seriously. You cant react to every word that comes out of his mouth.
  • May 16 03:58 AM
When this all started it was about being a Monopoly. DOJ said it wasnt, now the FCC wants to make sure they are getting there bang for the buck before they approve it and get re-elected in the process. I think you will see the decession once the DEMOCRATS get there head out of there ass and figure out who they are going to have run for President
  • May 16 01:09 PM
